1. Acceptance of Terms

By accessing and using the Fjigjtitjwe C.A. platform (hereinafter, "the Platform"), you agree to comply with and be bound by these Terms and Conditions of use. If you do not agree with any of these terms, we ask that you do not use the Platform. These terms constitute a legally binding agreement between you and Fjigjtitjwe C.A., a commercial company incorporated under the laws of the Bolivarian Republic of Venezuela, registered with the Fifth Commercial Registry of the Judicial District of the Capital District, Volume 42-A, No. 18, Tax ID J-50284371-9.

2. Service Description

Fjigjtitjwe C.A. operates a real estate crowdlending platform that allows users to participate as investors in real estate projects located in Venezuela. Through the Platform, investors can collectively finance selected real estate projects and receive returns based on the performance of those projects.

The Platform acts exclusively as an intermediary between investors and real estate developers. Fjigjtitjwe C.A. does not guarantee the success of any project or the return of investment. All investments made through the Platform are subject to the risk of partial or total loss of invested capital.

3. Eligibility Requirements

To use the Platform as an investor, you must meet the following requirements: be at least 18 years of age, possess full legal capacity to enter into binding contracts, have a valid identification document (Venezuelan national ID or valid passport), provide truthful and complete information during the registration process, and comply with all identity verification (KYC) and anti-money laundering requirements established by Venezuelan regulations and internal policies of Fjigjtitjwe C.A.

4. Investment Risks

Investments in real estate through crowdlending carry significant risks that you should understand before investing. These risks include, but are not limited to: risk of total or partial loss of invested capital, liquidity risk as investments cannot be withdrawn before the established term, risks associated with the Venezuelan real estate market including price fluctuations and regulatory changes, currency risk, risk of delay or non-compliance in project execution, and risk of insolvency of the real estate developer.

Fjigjtitjwe C.A. does not offer guarantees on projected returns or on the return of invested capital. Past returns do not constitute a guarantee of future results. We recommend that you only invest funds that you can afford to lose without affecting your financial situation.

5. User Obligations

By using the Platform, you commit to: providing truthful, accurate, and up-to-date information at all times, maintaining the confidentiality of your access credentials, immediately notifying Fjigjtitjwe C.A. of any unauthorized use of your account, not using the Platform for illegal or unauthorized activities, not attempting to access restricted areas of the Platform or interfere with its operation, and complying with all applicable laws and regulations in the Bolivarian Republic of Venezuela.

6. Fees and Charges

Fjigjtitjwe C.A. charges fees for intermediation services provided through the Platform. Applicable fees are detailed in the corresponding section of each project and may include: investment management fee, success fee on generated returns, and fees for additional services requested by the user.

All fees will be clearly disclosed before you make any investment. Fjigjtitjwe C.A. reserves the right to modify its fee structure with prior notification to users at least 30 days in advance.

7. Intellectual Property

All content on the Platform, including but not limited to texts, graphics, logos, images, software, and source code, is the property of Fjigjtitjwe C.A. or its licensors and is protected by Venezuelan intellectual property laws and applicable international treaties. The reproduction, distribution, modification, or unauthorized use of any content on the Platform is prohibited without the prior written consent of Fjigjtitjwe C.A.

8. Limitation of Liability

To the maximum extent permitted by Venezuelan law, Fjigjtitjwe C.A. shall not be liable for direct, indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use the Platform, including investment losses. The total liability of Fjigjtitjwe C.A. in any case shall not exceed the amount of fees actually paid by the user during the 12 months prior to the event giving rise to the claim.

9. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any dispute arising from or related to these terms shall be submitted to the exclusive jurisdiction of the competent courts of the city of Caracas, Capital District, Venezuela.

The parties agree to attempt to resolve any dispute amicably before resorting to judicial proceedings. If an agreement is not reached, the parties may choose to submit the dispute to an arbitration process administered in accordance with the Rules of the Business Center for Conciliation and Arbitration (CEDCA).

10. Modifications

Fjigjtitjwe C.A. reserves the right to modify these Terms and Conditions at any time. Modifications will take effect upon publication on the Platform. Continued use of the Platform after publication of modifications will constitute your acceptance of the updated terms.

For substantial changes affecting your rights as an investor, we will notify you at least 30 days in advance via email and a prominent notice on the Platform.
